1. Account Eligibility and Acceptance

These Terms of Service govern your access to and use of Okacrm websites, applications, content workflows, integrations, and related services (collectively, the "Service"). By using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

Account Eligibility requires that influencer users maintain valid credentials and, where required, a compatible Instagram Professional account for primary platform authentication. Client users must access the Service only through invitation-based client portal credentials issued by an authorized influencer workspace.

2. Account Security and Responsibility

You are responsible for all activity occurring under your credentials, including actions by team members, contractors, agents, and client users who access your workspace or linked records through your authorization. You must maintain accurate account information, use reasonable security practices, and promptly notify us of suspected unauthorized access.

We may require additional verification, suspend access, rotate credentials, or restrict integrations when we reasonably believe account activity presents fraud, abuse, security, legal, or operational risk.

3. Service Scope and Operational Boundaries

The Service supports account connectivity, media and analytics synchronization, campaign linking, proposal workflows, invoicing workflows, and client portal visibility according to feature availability. Scheduled post functionality in the Service is for planning and tracking and does not guarantee direct publishing to external platforms unless explicitly offered in writing.

Features may evolve, be modified, or be discontinued. We may impose usage limits, storage limits, API call limits, and workflow throttles necessary to preserve availability, security, and service quality.

4. Third-Party Platforms and Integrations

The Service depends on third-party providers including, without limitation, Meta/Instagram and TikTok. Your use of those providers is subject to their independent terms, policies, and technical constraints. Okacrm is not responsible for provider outages, API deprecations, policy changes, account restrictions, data delays, or downstream decisions made by those providers.

You authorize us to access and process third-party account data made available through your approved integrations. You represent that you have all rights and permissions necessary to grant this authorization.

5. User Content, Representations, and Compliance

You retain responsibility for all content, data, campaign materials, proposal terms, invoice details, and communications submitted through the Service. You represent and warrant that your content and conduct comply with applicable laws, regulations, contracts, platform rules, intellectual property rights, privacy rights, advertising standards, and payment obligations.

You will not submit unlawful, misleading, infringing, defamatory, deceptive, malicious, or otherwise prohibited materials. We may remove content, block actions, or suspend access when we reasonably believe these Terms or applicable legal obligations may be violated.

6. Acceptable Use Restrictions

You may not: reverse engineer or circumvent Service controls; scrape the Service outside documented access methods; transmit malware; abuse rate limits; interfere with other users; bypass authentication or authorization boundaries; impersonate others; use the Service for unlawful surveillance or data harvesting; or use the Service in violation of sanctions, export controls, anti-corruption laws, or consumer protection requirements.

We may investigate suspected misuse and cooperate with law enforcement or regulatory authorities where legally required or reasonably necessary to protect users, the Service, or third parties.

7. Fees, Billing, and Payment Terms

Fees, if applicable, are presented at purchase or in applicable ordering documents. You authorize us and our payment processor to collect amounts due, including recurring charges where selected, taxes where applicable, and past-due balances. You are responsible for maintaining accurate billing details and resolving payment failures promptly.

Invoice payment workflows are managed within the platform. Chargebacks, payment fraud, abusive disputes, or repeated payment failures may result in immediate restriction or suspension of affected accounts.

8. Data Ownership, Access Controls, and Portal Boundaries

Influencer users retain ownership of their workspace data, subject to rights required for us to operate, secure, and improve the Service. Client users receive limited access only to records expressly shared through client portal controls. You are responsible for configuring, reviewing, and revoking client permissions as needed for confidentiality and compliance.

We may preserve and disclose records where required by law, legal process, or legitimate safety and integrity needs, including dispute resolution and fraud prevention.

9. Intellectual Property and License

The Service, including software, interfaces, visual design, text, trademarks, and related materials, is owned by Okacrm or its licensors and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for internal business purposes.

No rights are granted except as expressly stated. You may not copy, modify, distribute, sublicense, sell, lease, create derivative works from, or otherwise exploit the Service except as allowed by law or written agreement.

10. Confidentiality

During use of the Service, each party may receive confidential information. You agree to protect confidential information using reasonable safeguards, use it only for permitted purposes, and disclose it only to persons with a legitimate need to know and equivalent confidentiality obligations. These duties survive account termination for as long as the information remains confidential under applicable law.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, and availability. We do not warrant uninterrupted operation, error-free performance, security invulnerability, third-party platform continuity, or specific business outcomes.

12. Limitation of Liability

To the maximum extent permitted by law, Okacrm and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost goodwill, business interruption, data loss, corruption, or replacement costs, arising out of or relating to the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, the aggregate liability of Okacrm for all claims arising out of or related to the Service will not exceed the greater of: (a) amounts paid by you to Okacrm for the Service during the twelve months preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (USD $100). Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

13. Release and Indemnification

To the fullest extent permitted by law, you release and discharge Okacrm and its affiliates from claims, demands, and damages arising from disputes between users, third-party platforms, clients, agencies, payment processors, or other external parties related to your use of the Service. If you are a California resident, you waive California Civil Code section 1542 and similar protections to the extent legally permitted.

You agree to defend, indemnify, and hold harmless Okacrm and its affiliates from and against claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your content, your use of the Service, your breach of these Terms, your violation of law, or your infringement or misappropriation of rights of any third party.

14. Suspension, Termination, and Survival

We may suspend or terminate access, in whole or in part, at any time with or without notice where necessary to protect security, comply with legal obligations, address non-payment, investigate misuse, or prevent harm. Upon termination, your right to access the Service ends immediately, but provisions intended to survive will continue in effect, including payment obligations, confidentiality, warranty disclaimers, liability limitations, indemnification, dispute terms, and other rights by their nature intended to survive.

15. Governing Law and Dispute Resolution

Except where prohibited by applicable law, these Terms are governed by the laws of the jurisdiction designated in your applicable order form or, if no designation exists, the jurisdiction of Okacrm's principal place of business, without regard to conflicts-of-law rules. Subject to mandatory legal rights, disputes will be resolved in the courts located in that jurisdiction, and you consent to personal jurisdiction and venue there.

Where enforceable, you and Okacrm agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, representative, or private attorney general proceeding.

16. Changes to Terms and Service Availability

We may update these Terms from time to time. Updated versions become effective when posted unless a later effective date is stated. Continued use of the Service after effective updates constitutes acceptance of the revised Terms. Service availability may be affected by maintenance, dependency failures, force majeure events, and external platform constraints.
